Drafting and amending Agreement Templates. Conducting legal due diligence, Drafting, reviewing and negotiating contracts relating to joint ventures, private equity and venture capital transaction. Reviewing and negotiating Facility Agreements relating to the financial fund-raising transactions. Providing structuring advice on the financial and regulatory implications for mergers and acquisitions. Vetting and negotiating contracts relating to transfer of property. Preparing reports based on legal research on cases referred for Arbitration involving issues related to investments. Researching and providing written advice on legal and regulatory issues, including laws relating to companies, property, foreign investment, banking, securities laws etc; Preparing reports on issues relating to RBI, SEBI and FEMA. Drafting memorandum and articles of association, Subscription Agreement, resolutions of shareholders and the board of directors. Filing of forms and general corporate compliance. Preparing opinions on Listing Rules and drafting documents like the Shareholders Agreements and the like. Drafting, briefing and vetting briefs for external-counsels in a matter concerning intricate legal dispute.
